State below in reasonable detail the reasons why Forms 10-K, 20-F, 11-K, 10-Q, N-SAR, or the transition report or portion thereof, could not be filed within the prescribed time period.
 
Lifecore Biomedical, Inc. (the “Company”) could not complete the filing of its Quarterly Report on Form 10-Q for the period ended November 26, 2023 (the “Second Quarter Form 10-Q”), as it continues to finalize the restatement of its previously issued consolidated financial statements as of and for the fiscal years ended May 29, 2022 (“FY22”) and May 30, 2021 (“FY21”) included in the Company’s Annual Report on Form 10-K/A filed with the Securities and Exchange Commission (the “SEC”), the Company’s unaudited consolidated financial statements as of and for the periods ending August 30, 2020, November 29, 2020, February 28, 2021, August 29, 2021, November 28, 2021, February 27, 2022, August 28, 2022, November 27, 2022 and February 26, 2023 included in the Company’s Quarterly Reports on Form 10-Q filed with the SEC (collectively, the “Non-Reliance Periods”), as further described in the Company’s Current Report on Form 8-K filed with SEC on October 30, 2023 (the “October 30 Form 8-K”), and the preparation and review processes in support of the Annual Report on Form 10-K for the fiscal year ended May 28, 2023 (the “2023 Form 10-K”) and of the Quarterly Report on Form 10-Q for the period ended August 27, 2023 (the “First Quarter Form 10-Q”), which delay could not be eliminated by the Company without unreasonable effort and expense.

The Company does not expect to file the Second Quarter Form 10-Q on or before the expiration of the five calendar day extension period provided in Rule 12b-25 of the Securities Exchange Act of 1934, as amended. The Company plans to file Second Quarter Form 10-Q as soon as practicable following the completion and filing of the 2023 Form 10-K and the First Quarter Form 10-Q.
